Parsley, Jagged Peak Energy Announce Merger – Quick Facts

Parsley Energy, Inc. (PE) has agreed to acquire Jagged Peak Energy Inc. (JAG) in an all-stock deal valued at approximately $2.27 billion, including Jagged Peak’s net debt of approximately $625 million. Jagged Peak shareholders will receive a fixed exchange ratio of 0.447 shares of Parsley Class A common stock for each share of Jagged Peak common stock they own. This represents $7.59 per Jagged Peak share.

The combined company will be owned 77 percent by Parsley shareholders, and 23 percent by Jagged Peak shareholders. The combined company will be led by Parsley’s executive management team. The merger deal is anticipated to close in the first quarter of 2020.

Parsley expects the deal to be immediately accretive to key metrics in 2020, including: cash flow per share, free cash flow per share, cash return on capital invested, and net asset value.

House Republican Conference Chair Rep. Liz Cheney says the U.S. needs to maintain its presence in Syria and work closely with the Kurds.

Rep. Liz Cheney, R-Wyo., said on Monday that President Trump's decision to withdraw U.S. troops from northeast Syria will have global ramifications, arguing that Turkey may have acted due to the president's weakened political standing at home.

"What the Democrats are doing themselves to try to weaken this president is part of this. It was not an accident that the Turks chose this moment to roll across the border. The Democrats have got to pay very careful attention to the damage they're doing with the impeachment proceedings," the chair of the House Republican Conference told “Fox & Friends.”

Trump was criticized by Sen. Lindsey Graham, R-S.C., for his initial decision, but was praised Sunday night for working with Congress “to impose crippling sanctions against Turkeys (sic) outrageous aggression/war crimes in Syria.”

      Mystery deepens over an oil spill that has affected 150 beaches in northeastern Brazil.

        A major clean-up operation is continuing along the coastline of northeastern Brazil, following a massive oil spill.

        At least 150 beaches have been affected so far.

        The oil has been difficult to track as it is lying under the surface of the water and can not be easily detected.

        RBI raises PMC Bank customers’ withdrawal limit to ₹40,000

        With the above relaxation, about 77% of the depositors of the bank will be able to withdraw their entire account balance.

        The Reserve Bank on Monday increased the withdrawal limit for depositors of scam-hit Punjab & Maharashtra Cooperative (PMC) Bank to ₹40,000 from ₹25,000 per account over the next six months.

        This is the third time the regulator has increased the withdrawal limit since its clamped down on the bank on September 23, when the RBI had capped it at ₹1,000 per customer, which led to lot of distress and criticism.

        The Reserve Bank of India, after reviewing the bank’s liquidity position and its ability to pay its depositors, has decided to further enhance the limit for withdrawal to ₹40,000, inclusive of ₹25,000 allowed earlier, the central banks said in a statement.

        With the above relaxation, about 77% of the depositors of the bank will be able to withdraw their entire account balance, it said.
