GardaWorld Gets Clearance From U.S., Canada Regulators To Proceed Proposed Merger With G4S
Garda World Security Corp., which has offered to acquire security company G4S plc (GFSZY.PK,GFS.L), Thursday said that competition regulators in Canada and the United States have cleared the way for the combination of GardaWorld and G4S to proceed.
The regulators allowed the relevant waiting periods to expire without requiring any further investigation or consequent remedial action.
As part of GardaWorld’s takeover offer, through its unit Fleming Capital Securities, Inc., GardaWorld submitted filings with a number of competition regulators around the world.
GardaWorld said it has enjoyed constructive and positive discussions with regulatory authorities.
GardaWorld’s board has long believed that a combination with G4S creates a significant global business with the ability to challenge larger market participants.
In late October, G4S’ Board unanimously rejected a 190 pence per share takeover offer by GardaWorld, calling it inadequate. The Board also urged its shareholders to reject the offer noting that the timing of the offer is highly opportunistic and significantly undervalues the business.
It was on September 30 that GardaWorld & BC Partners made the unsolicited offer. However, G4S issued statements earlier, continuously rejecting the offer.
Football: Scotland win on penalties to qualify for Euro 2020
BELGRADE (AFP) – Scotland beat Serbia on penalties on Thursday (Nov 12) to qualify for Euro 2020 and secure a place at what will be their first major tournament in 23 years.

Scotland, who have not qualified for a major tournament since the 1998 World Cup, then triumphed 5-4 in the shoot-out and will go on to play England, Croatia and the Czech Republic in Group D at the finals.
‘Squad’ Members Reject Marco Rubio After He Calls For Republicans To Rebrand
Sen. Marco Rubio (R-Fla.) is proposing a rebrand of the Republican Party that better connects with “multiethnic, multiracial, working class” voters.
The senator’s comments, made in an interview with Axios, prompted Intercept reporter Murtaza Hussain to quip that “Marco Rubio is joining The Squad.”
Two of the members of the so-called “Squad” of progressive House Democrats, Ilhan Omar of Minnesota and New York’s Alexandria Ocasio-Cortez, were quick to provide the group’s thoughts on that proposal:
Rubio, who was defeated by Donald Trump in the 2016 Republican presidential primaries and has since been a staunch ally to the president, told Axios that Republicans need to rebrand their party as champions of working-class voters and move away from its traditional embrace of big businesses, which he said those voters are largely against.
His analysis comes in the wake of Trump’s projected loss to Democrat Joe Biden. Rubio said he was not ruling out a 2024 presidential run.
The four members of the “Squad” ― Omar, Ocasio-Cortez, Ayanna Pressley of Massachusetts and Rashida Tlaib of Michigan ― have championed progressive policy proposals, such as “Medicare for All,” abolishing U.S. Immigration and Customs Enforcement and the Department of Homeland Security, increasing the top marginal tax rate and canceling student debt. All four women won reelection last week.
